Terms and Conditions of Service

Please read these Terms and Conditions (hereinafter referred to as the “Terms”) carefully. These Terms apply to the services operated by SAMtrinity (hereinafter referred to as “we” or “the Company”) and related collaborations, including but not limited to product sourcing, custom packaging, order fulfillment, and other services (collectively referred to as the “Services” hereinafter). All users (hereinafter referred to as “you”) who access our service pages, use our Services, or establish cooperative relationships with us shall be bound by these Terms.

1. Acceptance of Terms

 

  1. By using or engaging in any of our Services, you acknowledge that you have fully read, understood, and agreed to be bound by all provisions of these Terms.
  2. If you disagree with any part of these Terms, please do not use our Services. These Terms constitute a legally binding agreement between you and SAMtrinity, and supersede any prior oral or written agreements reached by both parties regarding the relevant Services.

2. Service Purchases and Payments

(1) Requirements for Payment Information

When purchasing our Services (such as product sourcing, custom packaging, etc.), you are required to provide us with accurate, complete, and legal information, including but not limited to:

  • Valid payment method details (e.g., bank account information, third-party payment account details, etc.);
  • Billing contact information (name, contact details, address, etc.);
  • Necessary service-related information (e.g., product specifications, customization requirements, delivery address, if applicable).

(2) Your Responsibilities

  1. You represent and warrant that all payment and service-related information provided by you is true, accurate, and complete, and that you have the legal right to use the payment method provided (e.g., the credit card is owned by you or you have obtained authorization to use it).
  2. You shall update your information in a timely manner to ensure its validity. You shall bear sole responsibility for any service delays, failures, or additional costs caused by incorrect or outdated information.

(3) Order Cancellation and Rejection

We reserve the right to cancel or reject your order/service request under the following circumstances, and will notify you promptly:
  1. The product or service in question is temporarily unavailable (e.g., stock shortages from suppliers, temporary constraints on customization resources, etc.);
  2. There are errors in the description, price, or other details of the product or service (e.g., pricing discrepancies or specification labeling errors caused by delayed information updates);
  3. We have reasonable grounds to suspect that the order involves fraud, illegal transactions, or a violation of these Terms;
  4. Other circumstances where Services cannot be provided due to force majeure, policy adjustments, or third-party reasons.

(4) Additional Fees

If your Services involve logistics and delivery to countries or regions with high logistics costs (such as Saudi Arabia, India, Brazil, etc.), additional logistics fees may apply. We will clearly inform you of the relevant fees before confirming the Services, and will only execute the Services after obtaining your confirmation.

3. Accuracy of Information and Availability of Services

(1) Information Updates and Potential Errors

We will make every effort to ensure the accuracy and completeness of service-related information (such as product specifications, prices, service scope). However, information may temporarily be inaccurate or incomplete due to the following reasons, and we shall not be held directly liable for such inaccuracies:

  1. Deviations in product pricing or specification descriptions caused by supplier adjustments or delayed system updates;
  2. Temporary unavailability of certain products or services due to inventory, supply chain, or other issues;
  3. Inconsistencies between advertising/promotional content and actual service information caused by asynchronous updates.

(2) Correction and Modification of Information

  1. SAMtrinity may correct information errors, update service content, or supplement missing information at any time without prior notice. It is recommended that you check for the latest information before confirming the Services.
  2. You shall bear the risk of any decisions made based on outdated or inaccurate information, and we shall not be liable for such decisions.

4. Contests, Sweepstakes, and Promotional Activities

  1. We may from time to time launch contests, sweepstakes, or promotional activities (collectively referred to as “Promotional Activities” hereinafter). Each activity shall be governed by its own specific rules; in case of any conflict between the activity rules and these Terms, the specific rules of the activity shall prevail.
  2. By participating in any Promotional Activity, you agree to comply with the activity rules and consent to our processing of the personal information you provide in the activity in accordance with our Privacy Policy.
  3. SAMtrinity may modify, suspend, or terminate any Promotional Activity at any time without prior notice, and reserves the final right of interpretation regarding any questions related to the activities.

5. Subscription Services (If Applicable)

(1) Current Subscription Status

SAMtrinity currently does not offer paid subscription Services. All currently available public service functions are provided free of charge, and you may apply to use them according to your needs.

(2) Future Subscription Plans (If Launched)

If we launch tiered membership subscription Services in the future, we will notify you of the following information in advance through official channels (such as email, service notifications) to ensure you have sufficient time to make a choice:

  1. The service content, functional differences, and corresponding prices (including free and paid options) for different membership tiers;
  2. The methods for activating, modifying, and canceling subscriptions, as well as the billing cycle;
  3. The transition plan for existing users (e.g., before the implementation of the paid model, existing users may continue to use the original functions for free, and we will notify you of subscription-related arrangements at least 30 days in advance).

(3) Subscription Modifications and Cancellations (If Applicable)

If you choose to use our paid subscription Services in the future, you may manage your subscription in the following ways:

  1. Modify your membership tier or cancel your subscription at any time through your dedicated account manager or official service channels;
  2. Paid subscription fees are non-refundable, but you may continue to use the paid functions of the current tier until the end of the current billing cycle;
  3. After canceling your subscription, you will be automatically switched to free functions (if available) or will no longer be able to use the original subscription Services.

6. Free Trials (If Applicable)

  1. We may offer limited-time free trials (hereinafter referred to as “Free Trials”) for certain new Services to allow you to evaluate the suitability of the Services. When participating in a Free Trial, you may be required to provide necessary contact information, but we will not charge you any fees during the Free Trial period.
  2. If a Free Trial needs to be converted to a paid Service after expiration, we will remind you at least 24 hours before the end of the trial period; if you do not explicitly refuse before the expiration date, the trial Service will not be automatically converted to a paid Service—you must confirm the activation of the paid Service voluntarily.
  3. SAMtrinity may modify the rules of Free Trials (such as trial duration, scope of application) or terminate Free Trials at any time according to service adjustment needs, and will make reasonable efforts to notify you in advance.

7. Fee Changes (If Applicable)

  1. If we adjust the fees for paid Services in the future, the new fees will take effect after the end of your current billing cycle and will not affect the subscription Services that have already taken effect.
  2. At least 30 days before the adjusted fees take effect, we will notify you of the new fee standards and effective date through the contact information you have provided.
  3. If you continue to use the Services after the adjusted fees take effect, it shall be deemed that you accept the new fee standards; if you disagree, you must cancel the relevant paid Services before the new fees take effect.

8. Refund Policy

  1. Regarding our service fees (such as product sourcing fees, custom service fees, etc.), SAMtrinity does not guarantee unconditional refunds, but will handle refund requests on a case-by-case basis (e.g., Services not performed as agreed, service failures caused by our reasons, etc.).
  2. To submit a refund request, you shall contact your dedicated account manager or submit the request through official channels. After reviewing the relevant supporting materials (such as service error records, communication records, etc.), we will notify you of the refund result and handling method.
  3. If the refund request is approved, the refund amount will be returned through your original payment method, and the arrival time shall be subject to the rules of the payment channel.

9. Brand Support Services

(1) Service Content

SAMtrinity provides brand support services to help you enhance brand recognition and product value, including but not limited to:

  • Custom thank-you cards (printed with your brand logo, greeting messages, etc.);
  • Packaging design and customization (e.g., custom packaging boxes, bags, brand stickers, etc.);
  • Other brand-related value-added services (such as recording of packaging process videos, laser engraving on products, etc., which need to be confirmed based on actual needs).

(2) Service Restrictions

  1. Brand support services are only applicable to eligible orders, i.e., the products involved in the order must be from SAMtrinity’s designated supplier catalog or products for which customization services have been confirmed by both parties;
  2. Brand support services cannot be provided for ineligible products (e.g., products with customization restrictions from suppliers, special-specification products), and we will clearly inform you of this during service docking.

10. Service Security and Compliance

(1) Requirements for Service Use

When using our Services, you shall comply with the following requirements:

  1. You shall ensure that your actions comply with applicable laws, regulations, and these Terms, and shall not use our Services to engage in illegal activities (such as fraud, money laundering, smuggling, etc.);
  2. You shall not infringe upon the intellectual property rights of any third party (e.g., using others’trademarks, copyrights, patents without authorization for customization services);
  3. You shall not engage in malicious acts (such as providing false information to us, interfering with the normal operation of the service system, spreading viruses or harmful data, etc.);
  4. You shall not harass or discriminate against others based on protected characteristics such as gender, religion, race, age, or disability, or use the Services to damage the legitimate rights and interests of others.

(2) Our Rights

If you violate the above requirements, we reserve the right to take the following measures without being liable for any losses caused to you:

  1. Suspend or terminate the provision of some or all Services to you;
  2. Require you to correct the violation and compensate us for any losses suffered as a result;
  3. If the violation involves illegal conduct, we reserve the right to report it to law enforcement authorities.

11. Intellectual Property and Infringement Handling

  1. SAMtrinity respects and protects intellectual property rights. The products and content involved in our Services (such as packaging design templates, service description documents) are either from legally authorized suppliers or independently developed by us, and the relevant intellectual property rights belong to the corresponding right holders.
  2. If you believe that our Services or the products/content involved in the Services infringe upon your legitimate intellectual property rights (such as trademark rights, copyrights, etc.), please submit a written notice to us via the official email (support@samtrinity.com), which shall include the following information:
    • Your identity information and contact details;
    • Proof of the infringed intellectual property rights (e.g., trademark registration certificate, copyright registration certificate, etc.);
    • The name, link, and specific infringement situation of the allegedly infringing service/product;
    • Your legal statement (stating that the content of your complaint is true and accurate, and that you have the right to claim relevant rights).
  3. Upon receiving a qualified infringement notice, we will review the allegedly infringing content/services within 48 hours, take measures such as removal, access disabling, or other reasonable actions based on the review results, and notify you of the handling outcome.
  4. If we discover content or products that are obviously infringing in the Services, we reserve the right to take proactive measures such as removal or access disabling without waiting for an official complaint. Any infringement disputes caused by content/products provided by suppliers or third parties shall be borne solely by the suppliers or third parties, and SAMtrinity shall not be held directly liable (unless otherwise stipulated by law).

12. Termination of Services

(1) Circumstances for Us to Terminate Services

We may immediately terminate the provision of Services to you and notify you under the following circumstances:

  1. You seriously violate any provision of these Terms and fail to correct the violation after being reminded;
  2. Termination of Services is required by laws, administrative regulations, or government orders;
  3. You fail to pay the service fees as agreed (applicable if paid Services are launched in the future) and still fail to pay after being urged;
  4. The Services cannot be continued due to force majeure, natural disasters, system failures, or other reasons, and cannot be restored within a short period of time.

(2) Impact of Service Termination

  1. After the termination of Services, you will no longer be able to use our service functions, and we will no longer retain your service-related data (unless retention is required by law);
  2. The termination of Services will not affect our right to collect fees for Services already provided, nor will it exempt you from liability for violations committed prior to termination.

(3) Voluntary Termination of Services by You

You may apply to terminate the use of our Services at any time by communicating with your dedicated account manager or through official channels. After the termination of Services, fees already paid for Services are non-refundable (however, for the part of Services not yet provided, a refund or extension may be negotiated).

13. Indemnification

  1. You agree to indemnify and hold harmless SAMtrinity, its employees, agents, partners, and suppliers from any losses, liabilities, claims, or expenses (including reasonable attorney fees) arising from the following reasons:
    • Your violation of these Terms;
    • Your use of the Services in a manner that violates applicable laws, regulations, or infringes upon the legitimate rights and interests of third parties;
    • Disputes or losses caused by false or incorrect information provided by you.
  2. If you are required to bear indemnification liability, we reserve the right to deduct the corresponding amount from the funds that should be paid to you (if any); if the amount is insufficient, we may recover the balance from you.
  3. We reserve the right to participate in the defense and settlement of disputes involving indemnification to protect our legitimate rights and interests, and the relevant expenses shall be borne by you.

14. Limitation of Liability and Disclaimer

(1) Limitation of Liability

To the extent permitted by law, SAMtrinity, its directors, employees, agents, partners, and suppliers shall not be liable for the following losses:
  1. Indirect losses (such as loss of profits, loss of income, loss of business opportunities, loss of goodwill, etc.);
  2. Intangible losses (such as data loss, indirect impacts caused by service interruptions, etc.);
  3. Losses caused by the following reasons:
    • Your inability to access or use the Services (e.g., system maintenance, network issues, etc.);
    • The actions or content of third parties in the Services;
    • Defects in products or information obtained by you through the Services;
    • Unauthorized access, use, or modification of your information by third parties.

(2) Disclaimer

  1. Our Services are provided on an “as-is” and “as-available” basis, and we make no express or implied warranties, including but not limited to:
    • Warranties that the Services are uninterrupted, error-free, safe, and reliable;
    • Warranties that the results of the Services meet your expectations and that the data is accurate and reliable;
    • Warranties that the Services are free of viruses or harmful components;
    • Implied warranties of merchantability, fitness for a particular purpose, and non-infringement of products.
  2. You shall bear the risk arising from your use of our Services. SAMtrinity shall not be liable for any direct or indirect losses caused by the use of the Services (unless otherwise stipulated by law).
  3. Some jurisdictions do not allow the exclusion or limitation of implied warranties or liability for indirect losses. If the relevant laws have mandatory provisions on the limitation or disclaimer content in these Terms, such legal provisions shall prevail.

15. Entire Agreement and Interpretation of Terms

  1. These Terms, together with our published Privacy Policy and After-Sales Policy (if any), constitute the entire agreement between you and SAMtrinity regarding the Services, and supersede all prior oral or written agreements, communications, or proposals.
  2. If any part of these Terms is determined by a competent court to be invalid or unenforceable, this shall not affect the validity and enforceability of the remaining parts, which shall still be binding on both parties.
  3. Any ambiguity in these Terms shall not be construed against the drafting party (i.e., SAMtrinity), but shall be interpreted in accordance with the principle of fairness and the purpose of the Terms.
  4. Our failure to exercise or delay in exercising any right under these Terms shall not constitute a waiver of that right; the exercise of any right in part or individually shall not affect the exercise of other rights.

16. Changes to Terms

  1. SAMtrinity may modify or replace these Terms at any time based on business adjustments, legal updates, or other circumstances. For material changes (such as reduction of service scope, adjustment of fee rules, modification of liability limitations, etc.), we will notify you at least 30 days in advance through official channels (such as email, service notifications); for non-material changes, we will update the Terms page and mark the new effective date.
  2. It is your responsibility to review the updated content of these Terms regularly. If you continue to use the Services after the modified Terms take effect, it shall be deemed that you accept the revised Terms; if you disagree with the changes, you must stop using the Services before the changes take effect, and the service relationship already established prior to this shall still be governed by the original Terms.

17. Returns and After-Sales Service (Applicable to Product-Related Services)

(1) Eligibility for Returns and Refunds

 

If products you sourced through us have the following issues after being delivered to your customers, you may apply to us for returns or refunds, provided that you submit corresponding evidence:
  1. The product is damaged, defective (not caused by human factors during transportation);
  2. The product does not conform to the agreed specifications (e.g., wrong model, missing functions);
  3. The product is lost during transportation (official proof of loss from the logistics company is required).

(2) Processing Procedure

  1. You shall submit an application to your dedicated account manager within 7 days of discovering the issue, and provide supporting evidence (such as photos/videos of the damaged/defective product, feedback records from your customer, logistics documents, etc.);
  2. We will review the application within 3 business days of receipt. If the review is approved, we will arrange for a refund, re-delivery, or other reasonable solutions based on the situation, and notify you of the specific processing progress;
  3. If the review reveals that the issue was caused by you or your customer (e.g., man-made damage, improper use) or that the evidence is insufficient, we reserve the right to reject the return or refund application and explain the reasons to you.
